1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the Kondoly platform, website, and mobile applications (collectively, the "Service"), provided by Kondoly Pte Ltd. ("Company", "we", "us", or "our").
By creating an account, or by accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all residents, tenants, council members, managing agents, and any other individuals who access or use the Service ("Users", "you").
2. The Service
Kondoly provides a platform for condominium management, including but not limited to facility booking, maintenance requests, announcements, and resident communication. The features available to you may depend on the subscription plan selected by your condominium corporation or its managing agent (the "Client" or "MCST").
We reserve the right to modify, suspend, or discontinue the Service, or any part of it, with or without notice at any time. We will not be liable if for any reason all or any part of the Service is unavailable at any time or for any period.
3. Subscription and Access
The Service is provided to your MCST under a separate subscription agreement. Your access as an individual User is contingent upon your MCST maintaining an active and fully paid subscription with us. If the MCST's subscription terminates, your access to the Service will also be terminated.
4. User Accounts
To use the Service, you must create an account with accurate and complete information. Your eligibility for an account is determined by your status as a resident or authorized agent of the MCST. You are responsible for safeguarding your password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate your account upon instruction from the MCST or if you breach these Terms.
Your registration is subject to verification and approval by your MCST. You may be required to provide proof of residency (e.g., tenancy agreement, utility bill) for verification. The MCST reserves the right to approve, reject, or revoke your access at any time.
5. User Content
Our Service allows you to post information, text, or other material ("Content"). You are solely responsible for the legality, reliability, and appropriateness of the Content you post. By posting Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such Content on the Service solely for the purpose of providing and improving the Service. You retain all of your rights to your Content.
We do not sell your personal data or Content to third parties. We may create anonymized, aggregated statistics that cannot identify any individual or MCST for service improvement and industry research.
6. Acceptable Use Policy
You agree not to use the Service to:
- Post any Content that is unlawful, defamatory, obscene, or infringes on the rights of others.
- Engage in any form of unauthorized advertising or commercial solicitation ("spam").
- Impersonate any person or entity or misrepresent your affiliation with a person or entity.
- Upload or transmit viruses, worms, or any other malicious code.
- Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service.
- Reverse engineer, decompile, or otherwise attempt to discover the source code of the Service.
7. Intellectual Property
The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Kondoly Pte Ltd. and its licensors. The Kondoly name, logo, and all related names and logos are trademarks of the Company. You may not use them without our prior written consent.
8. Termination
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. If you wish to terminate your account, please contact your MCST or our support team.
9. Disclaimer of Warranties
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Company makes no warranties, expressed or implied, and hereby disclaims all other warranties, including without limitation, implied warranties of merchantability, fitness for a particular purpose, or non-infringement of intellectual property.
10. Limitation of Liability
To the fullest extent permitted by law, in no event shall the Company, nor its directors, employees, or partners, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, or goodwill, arising out of your access to or use of, or inability to access or use, the Service.
11. Governing Law and Dispute Resolution
These Terms shall be governed and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of these Terms or the Service shall be instituted exclusively in the courts of Singapore.
12. Changes to Terms
We reserve the right to modify these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to use the Service after revisions become effective, you agree to be bound by the revised terms.
